BECOME A MEMBER TODAY

§ 1 Name and registered office, fiscal year

1. The association is called: Praetorian Community
2. The association is based in Dresden
3. The fiscal year is the calendar year

§ 2 Purpose, tasks, non-profit status, goals

1. The association pursues exclusively and directly charitable purposes within the meaning of the section “Tax-privileged purposes” of the Tax Code.
2. The purpose of the association is the promotion of education and upbringing in accordance with § 52 paragraph 2 no. 7 Abgabenordnung, the general promotion of the democratic state in accordance with § 52 paragraph 2 no. 24 tax code as well as the promotion of civic engagement in accordance with § 52 paragraph 2 no. 25 tax code. This purpose will be achieved through information and education on civic engagement, its methods and instruments, and the formation of actors, in particular the imparting of knowledge of the norms and ideals of democracy based on the rule of law, with the aim of promoting political perception.
3. The association is selflessly active. It does not primarily pursue its own economic purposes.
4. The funds of the association may only be used for its statutory purposes. The members may not receive any profit shares and, in their capacity as members, no other donations from the funds of the association.
5. No person may be favored by expenses that are alien to the purpose of the association or by disproportionately high remuneration.
6. Objectives of the association:
     • Support for dance professionals with a foreign background in order to connect with German society and participate in democracy.
     • Creation of visibility for dance professionals with a background in Germany to be heard by the decision-makers.
     • Provide members of the community with access to relevant and practical information in different languages.
     • Strengthening the basic values and ethics within the community of dance creators.

§ 3 Membership

1. Any natural or legal person or partnership that fulfills the following conditions may be a member of the association:
     • Dance professionals with an international background who live and work in Germany.
     • or as supporting members: dance-related German professionals who live and work in Germany.
2. At the suggestion of the Executive Board, extraordinary members may also be admitted by the resolution of the General Assembly. In addition, in special cases, personalities who have rendered outstanding services in the sense of the purpose of the association may also become honorary members.
3. The application for admission is made via the website: https://praetorianprojects.com/community. The Executive Board and the Supervisory Board decide on admission.

§ 4 Ending of a membership

1. Membership ends by death, exclusion, deletion from the list of members or withdrawal from the association, or by the liquidation of a legal entity.
2. The ordinary resignation takes place by written declaration to the Executive Board. It can only be declared at the end of a financial year, with a notice period of three months.
3. A member can be excluded if he culpably violates the interests of the association in a gross manner. In particular, if the member violates the codex of the association and blames himself for ethical and moral misconduct.
The exclusion takes place by resolution of the Executive Board. Before the decision is taken, the member must be given the opportunity to comment orally or in writing. The decision must be justified in writing and communicated to the member. An objection to this can be lodged with the Executive Board within one month of receipt of the resolution. The next general meeting will decide on this objection. magna aliqua.

§ 5 Executive Board, Supervisory Board

1. The association has a board of directors and a supervisory board. The Board of Directors consists of 3 members. It is the representative body of the association.
2. The Supervisory Board is appointed by Praetorian Non-profit – Art and Health Consulting gemeinnutzige UG (haftungsbeschrankt).
3. Members of the Executive Board appointed by the Supervisory Board.
4. If a member of the Management Board resigns prematurely, the Supervisory Board may appoint a successor for the remainder of the term of office of the retiring member.
5. The Executive Board meets as required. The meeting is convened by the Chairman and is to be held in consultation with each member of the Executive Board. Deadlines are expressly not prescribed.
6. The Executive Board shall pass its resolutions by a simple majority, which shall be consolidated.
7. The Executive Board may decide in writing if all members of the Board agree to this.
8. The board is responsible for all matters of the association unless they are transferred by the statutes to another organ of the association. In particular, it shall have the following tasks:
     • Preparation and convening of the General Assembly as well as preparation of the agenda;
     • Execution of decisions of the General Assembly;
     • Preparation of the accountability report;
     • Resolution on the admission of members.

§ 6 General Assembly

1. The Chairman of the Board of Management shall convene an ordinary general meeting within six months of the end of each financial year by ordinary letter or electronic mail (e-mail), observing a notice period of 21 days and stating the agenda. The period begins on the day following the dispatch of the invitation letter. The invitation letter shall be deemed to have been received by the member if it is addressed to the last address notified in writing by the member to the association.
